Tutor Referral Program Terms

1. Program Overview
The LexiMap Tutor Referral Program is a two-sided referral commission agreement. Participating tutors earn a commission for each new parent who subscribes to LexiMap using the tutor's personal referral code. Parents receive a discount on their first payment when they use a tutor's code. No content production, social media posting, or marketing deliverables are required.
Current commission rates, referral discounts, and program details are published on the Referral Program page at leximap.ai/tutors and may be updated from time to time.
This program is open to independent private tutors specializing in SSAT/ISEE test preparation. Participants are independent contractors, not employees of LexiMap.
2. Enrollment & Provisional Status
Upon submitting an application, you receive a provisional referral code (auto-generated from your last name, e.g., TUTOR-SARAH) that is active immediately. You can start sharing it right away.
LexiMap reviews applications within 72 hours. There are two possible rejection outcomes:
- Soft rejection (credentials unverifiable): Agreement terminates, but conversions during the provisional window are honored.
- Hard rejection (fraud or misrepresentation): Agreement terminates; all provisional conversions are voided and commissions clawed back.
3. Commission
You earn a one-time commission for each qualified referral conversion — a flat amount per conversion, not a recurring or percentage-based payment. A conversion occurs when a parent referred by you completes their first subscription purchase on any LexiMap plan. The current commission rate is published on the Referral Program page.
Conditions for a qualified conversion:
- Parent is a new LexiMap customer (no prior subscription)
- Parent used your referral code or link
- Conversion occurred during an active agreement period
- Your account is in active or provisional status
- The applicable holding period has elapsed without refund or chargeback (see Section 5)
4. Parent Discount
When a parent uses your referral code, they automatically receive the current referral discount on their first payment. The discount amount is published on the Referral Program page and applies to any subscription plan.
The discount is applied automatically at checkout via a Stripe coupon triggered by your code. No separate coupon is needed — your referral code does both attribution and discount.
5. Holding Period
Each conversion enters a holding period before the commission becomes payable. The current holding period is published on the Referral Program page. If a refund or chargeback is processed during this period, the commission is forfeited.
6. Payout Schedule
Commissions that clear the holding period are aggregated and typically paid by the 15th of the following month.
A minimum payout threshold applies as published on the Referral Program page. Balances below the threshold roll forward to the next payout cycle. Payouts are made via Stripe Connect or PayPal (your choice, configured during onboarding).
7. Clawback Conditions
LexiMap may claw back commissions under the following conditions:
- Refund processed within the applicable holding period of the referred parent's subscription purchase
- Chargeback filed within the applicable holding period of the referred parent's subscription purchase
- Referral determined to be fraudulent (no time limit on fraud-related clawbacks)
Clawback amounts are deducted from the next payout. If no future payouts are expected, LexiMap may invoice for the clawback amount.
8. Modification & Updates
LexiMap reserves the right to modify commission rates, discount amounts, holding periods, payout schedules, and other program parameters at any time. Changes to financial terms take effect 14 days after notice is sent to active participants via email. Your continued participation after the effective date constitutes acceptance.
Changes to these Terms (non-financial provisions) are posted on this page with an updated "Last updated" date; material changes are communicated via email.
9. Referral Obligations
By participating, you agree to the following obligations:
- OBL-01: Share your referral code or link with parents of current and prospective tutoring students. Permitted channels: verbal recommendation, direct email, direct text/SMS, personal social media (with FTC disclosure).
- OBL-02: Disclose your financial relationship with LexiMap when recommending the product (FTC-compliant disclosure required).
- OBL-03: Direct all communications to parents/guardians only — never to minors. Do not collect, share, or transmit any personally identifiable information of children under 13.
- OBL-04: Represent LexiMap's features, pricing, and capabilities accurately. Do not make false or misleading claims.
- OBL-05: Submit IRS Form W-9 before your first commission payout.
- OBL-06: Maintain accurate contact and payment information.
10. Prohibited Practices
The following practices are strictly prohibited:
- PP-01 Self-referral: Purchasing a LexiMap subscription for personal or family use via your own referral code. Consequence: immediate commission clawback; repeated offenses result in termination.
- PP-02 Incentive stacking: Offering parents additional discounts, cashback, or gifts beyond LexiMap's published pricing. Consequence: commission forfeiture; account suspension pending review.
- PP-03 Misleading claims: Making false, exaggerated, or unsubstantiated claims about LexiMap. Consequence: warning on first offense; termination on repeat.
- PP-04 Coupon/deal site distribution: Posting your code on coupon aggregator sites, deal forums, or similar platforms. Consequence: immediate code deactivation; commissions forfeited.
- PP-05 Paid advertising with LexiMap branding: Running paid ads using LexiMap's name, logo, or trademarks without prior written approval. Consequence: immediate termination.
- PP-06 Child data collection: Collecting, storing, or sharing PII of children under 13 in connection with referrals. Consequence: immediate termination; clawback of all pending commissions.
- PP-07 Spam or unsolicited bulk outreach: Sending unsolicited bulk messages to non-clients. Consequence: account suspension; termination if CAN-SPAM violation confirmed.
- PP-08 Code sharing or transfer: Allowing others to use your referral code as their own. Consequence: code deactivation; commissions from unauthorized use forfeited.
- PP-09 Fake or fraudulent referrals: Creating fake accounts or colluding to generate fraudulent conversions. Consequence: immediate termination; clawback of all commissions; permanent ban.
11. FTC Disclosure
Federal Trade Commission guidelines require that you disclose your financial relationship with LexiMap whenever you recommend the product. Disclosure must be clear and conspicuous — placed before or alongside any recommendation.
Verbal example:
"I should let you know — I earn a commission if you subscribe to LexiMap through my referral link. I recommend it because I think it genuinely helps my students, but I want to be transparent about the financial relationship."
Written example:
"Disclosure: I participate in LexiMap's tutor referral program and earn a commission for subscriptions made through my referral link."
If you post on social media, use #ad or #sponsored per standard FTC endorsement guidelines. Making this disclosure is a condition of participation in the program: if a failure to disclose is reported, it is grounds for removal from the program, clawback of affected commissions, and account suspension or termination.
12. COPPA Compliance
LexiMap's primary users are children. The Children's Online Privacy Protection Act (COPPA) imposes strict requirements on the collection of children's personal information. As a program participant:
- You must NEVER collect, solicit, or share personally identifiable information of children under 13
- All referral communications must be directed to parents/guardians, not to students
- You must not share referral codes or links directly with minors
- You must not use children's information (names, grades, test scores) in referral communications without explicit parental consent
Any COPPA violation is grounds for immediate termination and clawback of all pending commissions.
13. Tax Reporting
You are an independent contractor. You are solely responsible for reporting and paying all applicable federal, state, and local taxes on commission income.
- W-9 required: You must submit a valid IRS Form W-9 before your first payout
- 1099-NEC: LexiMap will issue IRS Form 1099-NEC to any referrer earning $600 or more in a calendar year, by January 31 of the following year
14. Termination
For cause: LexiMap may terminate your participation immediately for:
- Fraud or fraudulent referral activity
- Violation of prohibited practices (PP-01 through PP-09)
- COPPA violation
- Material misrepresentation of LexiMap's product or pricing
- Failure to make required FTC disclosures after written warning
- Breach of any material term of this agreement
For convenience: Either party may terminate at any time for any reason. Pending cleared commissions will be paid.
Upon termination, your referral code is deactivated. You may request deletion of personal data after all financial obligations are settled. Referral transaction records are retained for a minimum of 7 years for tax compliance.
15. Governing Law & Dispute Resolution
This agreement is governed by the laws of the State of Florida, United States. Disputes are resolved through the following process:
- Good faith negotiation for 30 days
- Mediation by a mutually agreed mediator in Florida
- Binding arbitration under American Arbitration Association (AAA) rules, conducted in Florida
Both parties waive the right to participate in class action lawsuits or class-wide arbitration.
Either party may bring claims in small claims court if the claim qualifies.
